Parties

This User Agreement ("Agreement") is made between S3 Tekstil Sanayi Ticaret Limited Şirketi, located at Çınarlı Mah. Ankara Asfaltı Cad. No: 15 İç Kapı No: 431 Konak / İzmir ("[.]"), and the User ("User"), to establish the terms of the User's utilization of services provided on [.] platform.

When creating an account, the User must provide accurate and complete information. The User agrees and undertakes to compensate [.] for all damages caused by the inaccuracy of such information.

[.] and the User shall be referred to individually as a "Party" and collectively as the "Parties".

Subject

Age Restriction and Membership Requirements

You may use [.] only if you are legally capable of entering into a binding contract.

Individuals under 18 years of age are not allowed to use or access [.] in any manner.

Intellectual Property Rights

All titles, ownership, and intellectual property rights related to the products on [.] and any copies thereof (including, but not limited to all texts, graphics, music or sounds, messages or information items, characters, names, themes, objects, scenes, effects, dialogues, slogans, locations, schematics, concepts, choreography, videos, audiovisual effects, domain names, and all other elements part of the product) are the property of [.] or its licensors.

[.] and its content are protected by national and international laws, copyright agreements, and conventions. The licensed materials may not be reproduced or displayed in any manner without the prior written permission of [.] or its representatives. All rights not explicitly granted herein are reserved by [.].

Privacy and Protection of Personal Data

[.] agrees not to disclose or share any personal data obtained from the User without prior explicit written consent, unless it meets the conditions under applicable laws. This obligation remains valid after the termination of this commercial relationship.

[.] undertakes to process personal data lawfully, fairly, and in a manner limited to what is necessary for the performance of this Agreement. If the purpose ceases or the relationship ends, such data will be destroyed in compliance with legal regulations.

[.] shall take all necessary technical and administrative measures to protect personal data from unlawful processing or access and to ensure secure storage.

In case of legal disputes related to fraud, abuse, or misconduct, personal data may be shared with relevant parties under KVKK, limited to the scope of the issue and after informing the data subject if required.

The User agrees to inform [.] immediately of any unauthorized access or improper transfer of personal data and to cooperate to minimize or remedy potential damages.

Prohibited Uses

The User agrees to act in accordance with this Agreement, [.]’s policies, applicable laws, and ethical standards.

User is responsible for all actions taken through their account and shall keep their username and password secure. The User shall not claim that any transaction done through their account was unauthorized.

The User agrees not to:

- Use [.] to create a database or directory.
- Reverse-engineer, alter or damage any part of [.].
- Register using false information or impersonate another.
- Manipulate feedback or rating systems.
- Upload harmful software, viruses, or malicious technologies to [.].
- Collect data without consent or violate data protection laws.
- Create unreasonable or disproportionate loads on technical systems.
- Use automated scripts or bots without prior consent.
- Exploit promotions or breach campaign conditions.

Users must not harm the platform and must use licensed security software to prevent damage.

Robotic or automated access to the Account Page is prohibited.

Governing Law

This Agreement shall be governed and interpreted under the laws of the Republic of Turkey. In case of disputes, İzmir Courts and Execution Offices shall have jurisdiction.

Termination

The Parties may terminate this Agreement at any time for any reason.

The Agreement shall terminate automatically upon violation of any of its terms or conditions.

Promotions

Promotions, contests, giveaways, surveys, or similar events may be governed by separate rules. Please review the applicable rules and Privacy Policy.

Warranty Disclaimer

To the extent permitted by law, [.] provides all services and third-party products “as is,” without any express or implied warranties, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

While [.] endeavors to maintain functionality, completeness, and security, it does not guarantee uninterrupted access or absolute accuracy of content.

Force Majeure

Events beyond the control of the Parties (such as strikes, wars, natural disasters) shall be considered force majeure. The affected Party shall notify the other Party in writing and provide details as soon as possible.

Other Provisions

[.] may update this Agreement and related policies at any time, provided they are not in conflict with applicable laws. Changes shall take effect when published on the platform.

If any provision of this Agreement is held invalid, the remainder shall continue in effect.

This Agreement and its annexes constitute a whole.
